Once you have created an account, you can begin your journey of investing in your favorite Creators. In order to participate in an Issuer’s Offering on the Platform, you will generally have to take the following steps:
First, browse the Platform to identify the campaign page of the Issuer you want to invest in and review the Issuer’s Form C and any other associated Offering materials;
Second, you will input the number of Securities you intend to purchase on the Issuer’s campaign page and click “Partner”;
Third, you will be redirected to the Platform’s Know-Your-Client and Anti-Money Laundering (“KYC/AML”) page, where you will be asked to submit additional personal information so Crowdsurf can verify your good intentions;
Fourth, you will be directed to an “investment calculator,” which will help you determine your investment limits (i.e., the maximum amount of money you are allowed to invest). Note that if the total price of the Securities you want to purchase exceeds your investment limit as determined by the investment calculator, you will be asked to modify the number of Securities you intend to purchase until the price of the Securities you are purchasing falls below your permitted limit;
Fifth, you will select a payment method and link your associated bank account, debit card or credit card;
Sixth, you will click “confirm and pay,” at which point you will be asked to e-sign the Issuer’s Security Instrument and acknowledge that you have read, understand, and agree to Crowdsurf’s Terms of Service and Privacy Policy and the Issuer’s offering materials (including the Issuer’s Form C, Security Instrument and any other ancillary materials). Once you have signed the Issuer’s Security Instrument, you have finished making your Investment Commitment.
Bear in mind that when you complete the Investment Commitment process, you are not automatically an Investor in the Company. As noted in the introductory definitions in these FAQs, the Investment Commitment is merely your promise to invest a certain amount of money in an Issuer in exchange for Securities. Your Investment Commitment may only be accepted when the Issuer’s Offering closes and you receive the Confirmation of Transaction Notice, if ever. In addition, note that Investment Commitments are subject to cancellation by the Issuer (please refer to the FAQ titled “Under what circumstances may the Issuer cancel my Investment Commitment?” for more information on when an Issuer is allowed to cancel your Investment Commitment), rejection by the Issuer, cancellation in the event the Offering ends early, and/or cancellation in the event you fail to reconfirm your Investment Commitment within five (5) days of receiving a Cancellation and Reconfirmation Based on Material Change to Offering Terms Notice.
