Investors will receive the following communications/notices via email throughout the investment process:
Notice of Investment Commitment. Once the Platform receives an Investor’s Investment Commitment, the Investor will receive a notification disclosing:
The dollar amount of the Investment Commitment;
The price of the Securities (if known);
The name of the Issuer; and
The date and time by which the Investor may cancel the Investment Commitment.
Confirmation of Transaction Notice. Once an Issuer’s Offering closes, Investors whose Investment Commitments’ were accepted will receive a notification disclosing:
The date of the closing of the Securities transaction;
The type of Security that the Investor is purchasing;
The identity, price, and number of Securities purchased by the Investor, as well as the number of Securities sold by the Issuer in the transaction and the price(s) at which the Securities were sold;
The source, form and amount of any payment received or to be received by the Platform in connection with the transaction, including any payment received or to be received by the Platform from persons other than the Issuer.
Cancellation and Reconfirmation Based on Material Change to Offering Terms Notice. If there is a “material change” to the terms of an Offering or to the Offering information provided by the Issuer, the Platform must give or send to any Investor who has made an Investment Commitment notice of the “material change” and notice that the Investor's Investment Commitment will be cancelled unless the Investor reconfirms his or her Investment Commitment within five (5) business days of receipt of the notice. If the Investor fails to reconfirm his or her investment within five (5) business days of receiving the Cancellation and Reconfirmation Based on Material Change to Offering Terms Notice, the Platform must within five (5) business days thereafter:
Give or send the Investor a notification disclosing that the Investment Commitment was cancelled, the reason for the cancellation and the refund amount that the Investor is expected to receive; and
Direct the refund of Investor funds.
Return of Funds if Offering is not Completed Notice. If an Issuer does not complete its Offering, the Platform must within five (5) business days:
Give or send each Investor a notification of the cancellation, disclosing the reason for the cancellation, and the refund amount that the Investor is expected to receive;
Direct the refund of Investor funds; and
Prevent Investors from making Investment Commitments with respect to that Offering on the Platform.
